Official Rules/Terms & Conditions

These Official Rules/Terms & Conditions (the “Rules”) govern the True Grid Awards promotion (the “Promotion”). By submitting a nomination or otherwise participating, you agree to these Rules.
1) Sponsor and Administrator
The Promotion is sponsored and administered by Gridware Inc. (“Sponsor,” “Gridware,” “we,” “us”).

2) Promotion Period
The Promotion begins December 15, 2025 at 12:01 a.m. PT and ends September 30, 2026 (the “Promotion Period”). Sponsor’s computer is the official timekeeping device.
3) Eligibility
The Promotion is open to legal residents of the United States who are 18 years of age or older at the time of entry (or older if required by your jurisdiction) and who have access to the internet and a valid email address.
Not eligible: Sponsor’s employees, officers, directors, contractors, agents, and representatives, and their immediate family members (spouse, parent, child, sibling) and household members.
Sponsor may require proof of eligibility and reserves the right to verify eligibility in its sole discretion.
4) How to Participate / Enter
Participation occurs by submitting a nomination during the Promotion Period via Sponsor’s online submission portal located at https://truegrid.gridware.io (the “Portal”).
To submit a nomination (an “Entry”), the nominator (“Nominator”) must:
Complete the required fields in the Portal, including Nominator and nominee (“Nominee”) information;
Provide required nomination information; and
Upload the required video submission (a “Submission”) per the Portal instructions.
Peer nominations only: Self-nominations are not permitted. Sponsor may disqualify any attempted self-nomination.
Limit: unlimited entries per person during the Promotion Period.
5) Submission Requirements
Each Submission must comply with these requirements:
Must be created and submitted by the Nominator.
Must not include content that is unlawful, threatening, harassing, defamatory, obscene, sexually explicit, hateful, or otherwise inappropriate, as determined by Sponsor.
Must not include third-party copyrighted materials (e.g., music, logos, video clips) unless the Nominator has all necessary rights/permissions.
Must not disclose confidential information or personally sensitive data (e.g., home addresses, financial data).
Sponsor may reject or remove any Entry/Submission at any time for noncompliance.
6) Prizes
A. True Grid Awards – Lineman of the Year
One (1) True Grid Awards Lineman of the Year winner may receive a golden hard hat trophy (the “Trophy”). Approximate Retail Value (“ARV”): $100.
B. Active Grid Response Scholarships
Certain winners may receive an Active Grid Response scholarship (the “Scholarship”), described as: coverage of tuition to participate in a training course about Active Grid Response. ARV: $3,000 each.
Important: Scholarships may be awarded to both Nominees and/or Nominators, as determined by Sponsor.
C. Early Submission Incentive – Gift Cards
The first two hundred (200) eligible Entries submitted during the Promotion Period (as determined by Sponsor’s timestamp records) may receive a $50 Amazon.com Gift Card for the Nominator (the “Gift Card Incentive”), subject to verification and these Rules.
Limit one (1) Gift Card Incentive per person. Sponsor reserves the right to deny duplicate or fraudulent claims.
Amazon disclaimer: Amazon is not a Sponsor of this Promotion and is not responsible for any aspect of the Promotion.
General Prize Conditions (All Prizes)
Prizes are non-transferable and no substitution is allowed except at Sponsor’s sole discretion. Sponsor may substitute a prize of equal or greater value.
Winners are responsible for all applicable taxes. Sponsor may issue tax forms (including IRS Form 1099) where required.
Sponsor may require winners to complete and return an affidavit of eligibility, liability/publicity release, tax forms, and/or other documentation as a condition of prize fulfillment.
7) Winner Selection and Criteria
Winners will be selected based on Voting: Winners are determined by vote totals, subject to Sponsor validation and anti-fraud review.
Sponsor’s decisions are final and binding on all matters related to the Promotion, including winner selection.
8) Winner Notification and Verification
Potential winners will be notified by email and/or phone using the contact information provided in the Entry. If a potential winner does not respond within 10 business days, is found ineligible, or fails to complete required documentation, Sponsor may disqualify that person and select an alternate winner (time permitting).
9) Publicity
Except where prohibited, participation and acceptance of a prize constitutes permission for Sponsor to use the winner’s name, title, employer/affiliation (if provided), likeness, image, voice, biographical information, and statements for promotional purposes in any media without further compensation.
10) Rights in Submissions; Separate Content License & Release
As a condition of entry, Nominator must agree to Sponsor’s Content License & Release presented during submission (or linked in the Portal). In the event of any conflict between these Rules and the Content License & Release, the Content License & Release controls with respect to rights in the Submission and permissions for marketing use.
11) Privacy
Information collected from participants is subject to Sponsor’s privacy practices and will be used for administering the Promotion, verifying eligibility, awarding prizes, and related communications. Sponsor’s privacy policy (if any) is available at www.Gridware.io.
12) General Conditions; Disqualification
Sponsor reserves the right to disqualify any participant who:
violates these Rules,
tampers with the entry process or the Portal,
submits false or misleading information, or
engages in any conduct that Sponsor determines to be unfair, disruptive, or harmful.
Sponsor may cancel, suspend, or modify the Promotion if fraud, technical failures, or other causes impair the integrity or proper functioning of the Promotion, as determined by Sponsor.
13) Limitation of Liability
To the maximum extent permitted by law, Sponsor is not responsible for: (i) late, lost, incomplete, or misdirected entries; (ii) technical failures of any kind; (iii) unauthorized human intervention; (iv) errors in administration; or (v) injury or damage arising from participation or receipt/use of any prize.
14) Disputes; Governing Law; Venue
These Rules and the Promotion are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or related to the Promotion shall be brought in the state or federal courts located in San Francisco County, California, and participants consent to such jurisdiction and venue.

To request a winners list (available after the Promotion ends), send a request to: truegrid@gridware.io with the subject line “True Grid Awards Winners List” within 90 days of Gridware's winners announcement.
